3.3 These website Terms do not, by themselves, create a client services agreement. If you become a client, the separate written agreement for that engagement will control if it conflicts with these Terms.
4. No Guaranteed Results
4.1 We aim to deliver professional, commercially reasonable work, but we do not guarantee any specific business outcome, lead volume, conversion rate, meeting count, revenue figure, deliverability rate, return on investment, ranking, approval, or growth result.
4.2 Results depend on many factors outside our control, including your offer, market, data quality, audience, sales process, budget, platform policies, domain reputation, team responsiveness, and broader market conditions.
4.3 Any specific timelines, deliverables, or outcomes expressly committed to in a signed proposal or service agreement are governed by that agreement and are not affected by this general disclaimer.
5. AI-Assisted Services
Our services may use artificial intelligence, automation tools, enrichment tools, analytics systems, and third-party platforms. AI-assisted outputs may be incomplete, inaccurate, or require human review.
You are responsible for reviewing and approving any content, workflows, campaign materials, automations, recommendations, or other outputs before relying on them, publishing them, or using them in your business.
Unless separately agreed in writing, we do not use client confidential information or client customer data to train public AI models.
6. User and Client Responsibilities
If you submit information to us or engage our services, you agree to:
- Provide accurate, complete, and timely information.
- Ensure that any data, lists, content, credentials, materials, or instructions you provide are lawful and authorized for use.
- Meet any legal or compliance responsibilities that apply to the materials, instructions, approvals, and data you provide to us.
- Comply with applicable laws, platform terms, privacy rules, anti-spam rules, and industry requirements.
- Maintain appropriate access to your own accounts, tools, domains, email systems, CRM systems, and third-party platforms.
We may rely on the information, materials, and instructions you provide.
7. Intellectual Property
All content on our website, including text, design, graphics, layouts, logos, service descriptions, frameworks, processes, templates, and other materials, belongs to BroaeD or its licensors and may not be copied, reproduced, distributed, modified, or used without our written permission.
Materials you provide to us remain yours. You grant us a limited right to use those materials solely to respond to your inquiry, prepare a proposal, or provide agreed services.
Unless a separate written agreement states otherwise:
- Custom final deliverables created specifically for you become yours after full payment.
- BroaeD retains ownership of its pre-existing materials, methods, tools, templates, frameworks, know-how, systems, reusable components, and general expertise.
- We may use general skills, knowledge, ideas, and experience gained during engagements, provided we do not disclose your confidential information.
8. Confidentiality
If you share confidential business information with us during a discovery call, proposal process, or service engagement, we will use reasonable care to protect it and will use it only to evaluate or deliver services to you.
Confidential information does not include information that is publicly available, already known without restriction, independently developed, lawfully received from another source, or required to be disclosed by law.
Client-specific confidentiality obligations may be further defined in a separate written agreement.
9. Privacy and Data Processing
Our collection and use of personal information is described in our Privacy Policy.
Where we process personal information on behalf of a client as part of a service engagement, we generally do so according to the client’s instructions and the applicable written agreement. A separate Data Processing Agreement may be used where required.
